Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Vizim LLC, a limited liability company (“Vizim,” “we,” “our,” or “us”), and govern your access to and use of the Unstalo web application, iOS application, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years of age and capable of forming a binding contract under applicable law to use the Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@unstalo.com of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account.

3. Subscriptions and Billing

3.1 Paid Subscription Required

Unstalo is a paid service. An active paid subscription is required to access and use the Service. There is no free version, free tier, or ad-supported version of the Service. The specific features, pricing, and billing period for each plan are disclosed at the point of purchase. By purchasing a subscription, you agree to pay the applicable fees associated with the selected plan.

3.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless auto-renewal is turned off at least 24 hours before the end of the current period. Your payment method will be charged for renewal within 24 hours prior to the end of the current period at the then-current subscription rate. The renewal length will match the initial subscription length (e.g., monthly subscriptions renew monthly, annual subscriptions renew annually).

3.3 Apple In-App Purchases (iOS)

Subscriptions purchased through the Unstalo iOS app are processed through Apple’s App Store and billed to your Apple ID account. Payment, billing, auto-renewal, and cancellation for iOS subscriptions are managed entirely by Apple in accordance with the Apple Media Services Terms and Conditions.

3.4 Managing and Canceling Your Subscription

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period, and you will retain access to premium features until that time. No partial refunds are issued for unused portions of a billing period unless required by applicable law.

• iOS subscribers:Manage or cancel your subscription through the Settings app on your device under your Apple ID → Subscriptions, or via the App Store app.
• Web subscribers: Manage or cancel your subscription from the Settings page within the Unstalo web app.

3.5 Refunds

Except as required by applicable law, all subscription fees are non-refundable. For iOS subscriptions, all refund requests must be directed to Apple at reportaproblem.apple.com. Apple has sole discretion over iOS refund decisions.

3.6 Price Changes

We may change subscription pricing at any time. Any price changes will take effect at the start of the next billing period following the change. We will provide reasonable advance notice of any price increase, and you will have the opportunity to cancel before the change takes effect. Continued use of the Service after a price change constitutes acceptance of the new price.

4. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business use. This license does not grant you any rights to our trademarks, source code, or proprietary technology.

5. Acceptable Use

You agree not to:

• Use the Service in any manner that violates applicable law or regulation, including eBay’s policies and terms of service.
• Attempt to gain unauthorized access to any portion of the Service, other user accounts, or our systems and infrastructure.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except where expressly permitted by applicable law.
• Interfere with or disrupt the integrity or performance of the Service, including by introducing viruses, malware, or excessive automated requests.
• Use the Service to engage in fraudulent activity, deceptive practices, or activity that infringes the intellectual property rights of others.
• Resell, sublicense, or commercially exploit the Service without our express written consent.
• Use the Service’s AI features to generate content that is illegal, harmful, defamatory, or that violates the rights of any third party.

6. Third-Party Services and Content

The Service integrates with third-party platforms, including eBay, Plaid, Anthropic, OpenAI, and Apple. Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service. The accuracy of AI-generated recommendations, pricing insights, and listing optimizations is not guaranteed and should be reviewed before use.

7. User Content

You retain ownership of any content you submit to the Service, including listing data, descriptions, and photographs (“User Content”). By submitting User Content, you grant Unstalo a worldwide, non-exclusive, royalty-free license to host, store, process, and display the User Content solely for the purpose of providing the Service to you. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate the rights of any third party.

8. Intellectual Property

The Service, including all software, designs, logos, trademarks, and content (excluding User Content), is owned by Unstalo or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use any Unstalo trademark or branding without our prior written consent.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, third parties, or our business interests. You may terminate your account at any time by contacting support@unstalo.com. Upon termination, your right to use the Service ceases immediately, and any outstanding subscription fees remain due.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THE ACCURACY OF AI-GENERATED RECOMMENDATIONS, PRICING INSIGHTS, OR ANY OTHER OUTPUT OF THE SERVICE. YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIZIM LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Vizim LLC and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of a third party.

13. Apple App Store Additional Terms

The following terms apply only to your use of the Unstalo iOS application obtained through the Apple App Store:

• These Terms are between you and Vizim LLC only, not with Apple. Apple is not responsible for the iOS app or its content.
• Apple has no obligation to provide any maintenance or support services for the iOS app.
• In the event of any failure of the iOS app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the iOS app to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the iOS app.
• Apple is not responsible for addressing any claims by you or any third party relating to the iOS app, including product liability claims, claims that the iOS app fails to conform to any legal or regulatory requirement, or claims arising under consumer protection or similar legislation.
• Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the iOS app or your use of it infringes that third party’s intellectual property rights.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right to enforce these Terms against you.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Effective Date” at the top of this page and provide reasonable notice through the Service or via email. Your continued use of the Service after the effective date of any revised Terms constitutes acceptance of the revised Terms.
